Agreement to Arbitrate & Waiver of Certain Rights
You and the Company agree that, except as set forth below, we will resolve any Dispute (defined below) between us (including any disputes between you and any of our affiliates) and you through binding and final individual arbitration instead of through court proceedings. You and the Company hereby waive any right to a jury trial or to class or collective resolution or decision of any Dispute. Any Dispute, arising in any way between us and You (and out of an abundance of caution any secondary member concerning your membership) including but not limited to in connection with any (i) of these Terms, (ii) your membership, (iii) your access to or use of the Erewhon Site or Erewhon mobile app, (iii) your access to an Erewhon market, (iv) claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, in law or equity, and/or (v) all common law claims and claims related to personal injury, including claims for negligence, gross negligence, physical impairment, pain and suffering, emotional distress, and exemplary or punitive damages arising out of or related to any personal injury(“collectively hereinafter “Dispute”) will be governed by the Federal Arbitration Act (“FAA”) and California law (without reference to its choice of law provisions), all as more fully set forth below. The foregoing shall not preclude you or Erewhon or any of our affiliates from pursuing all, , or other remedies for , , service mark, or , and either you or Erewhon shall be entitled to an injunction or injunctions to prevent breaches of the provisions of these Terms and Conditions, to specifically enforce these Terms and Conditions and all provisions hereof without bond or other security being required in any court of the United States or any state having jurisdiction, this being in addition to any other remedy to which either you or Erewhon is entitled at law or in equity.
You are advised that in arbitration, there is no judge or jury and there is less discovery and appellate review than in court. You also acknowledge and agree there will be no right or authority for any Dispute to be arbitrated or litigated on a class-action basis.Neither you nor the Company may act as a class representative or private attorney general, nor participate as a member of a class of claimants, concerning any Dispute. Any Dispute will be resolved exclusively by and in accordance with the Arbitration Rules of ADR SERVICES, INC ("ADR Rules"). The arbitration will be heard and determined by a single arbitrator in Century City California appointed by ADR SERVICES, INC in accordance with theADR Rules. The arbitrator's decision in any such arbitration will be final and binding upon you and Erewhon and may be enforced in any court of competent jurisdiction. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator may award in the arbitration the same damages or other relief available under applicable law, including injunctive and declaratory relief as if the action were brought in court on an individual basis. Notwithstanding anything to the contrary in the foregoing or herein, the arbitrator may not issue a "public injunction" and any such "public injunction" may be awarded only by a federal or state court. If either party seeks a "public injunction," all other claims and prayers for relief must be adjudicated in arbitration first and any prayer or claim for a "public injunction" in federal or state court stayed until the arbitration is completed, after which the federal or state court can adjudicate the party's claim or prayer for "public injunctive relief." In doing so, the federal or state court is bound under principles of claim or issue preclusion by the decision of the arbitrator. This section of the Terms and Conditions will survive the termination of your membership in any Program.
You and Erewhon also agree that the arbitration proceedings will be kept confidential and that the existence of the proceeding and any element of it (including, without limitation, any pleadings, briefs, or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration, by applicable disclosure rules and regulations of securities regulatory authorities or other governmental agencies, or as specifically permitted by state law. The arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms and Conditions including, but not limited to, a claim that all or any part of these Terms and Conditions is void or voidable.
If you demonstrate with substantial documentary evidence that the costs of arbitration will be prohibitive as compared to the costs of litigation, the Company will pay as much of the administrative costs and arbitrator's fees required for the arbitration as the arbitrator deems necessary to prevent the cost of the arbitration from being prohibitive to you. You and the Company also have the right to bring qualifying claims in small claims court on an individual, non-class basis. Neither you nor Erewhon shall be entitled to an award of attorney fees from the arbitration of any Dispute.
Right to Opt-Out of this Arbitration Agreement.
You may opt out of the agreement to arbitrate all Disputes but only within the first 10 days after the primary member enrolls in one of our Membership Programs by sending an email to the Company at email@example.com. Your email must include your printed name, mailing address, and the words “Reject Arbitration.”
If any provision concerning the arbitration of a Dispute is found to be invalid or unenforceable, then that specific provision shall be of no force and effect and shall be severed, but the remainder of the provisions concerning the arbitration of any Dispute shall continue in full force and effect. If for any reason a Dispute proceeds in court rather than in arbitration you and Erewhon each waive any right to a jury trial. No waiver of any provision of these Terms and Conditions will be effective or enforceable unless recorded in a writing and signed by the party waiving such a right or requirement. Such a waiver shall not waive or affect any other portion of these Terms and Conditions. If either party seeks a "public injunction," all other claims and prayers for relief must be adjudicated in arbitration first and any prayer or claim for a "public injunction" in federal or state court stayed until the arbitration is completed, after which the federal or state court can adjudicate the party's claim or prayer for "public injunctive relief.".
Under no circumstances will Erewhon or its affiliates be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond our reasonable control or because one or more grocery items or other products may not be available for sale at all times.
The failure by us to enforce any right or provision of these Terms and Conditions will not prevent us from enforcing such right or provision in the future.
